Public Company Directors & Officers Liability policy is an expressly constructed product which provides coverage for those company(s) that offers its securities for sale to the general public, typically through a stock exchange. Classically, a standard public company “D&O” policy contains three depths of coverage. Insuring Clause 1: is standardly for those Non-Indemnifiable claims against an Insured Person(s), Insuring Clause 2: is for Indemnifiable claims against an Insured Person(s), and Insuring Clause 3: provides coverage for the Entity but only for a Securities Claim.
